A breakdown of company incorporation fees in Cameroon!

When you want to form a company in Cameroon, it is important that you have a good understanding of the fees involved. Depending on what manner of business one has in mind and with other factors taken into account, the costs will differ. Below is a list of some of the company incorporation fees that are charged:

Registration Fees –XAF 90,000

This is the prescribed fee paid to the state when incorporating your company. It is an obligatory charge that constitutes payment for simply filling out basic incorporation forms.

Notary Fees – XAF 100,000 plus

The notary public charges are dependent on where your office is located as well as the subscribed capital of your business entity. Papers need to be legally binding by being certified through this means.

Publication in Legal Journal – XAF 15,000

Once registered, it must be published in an official legal journal. This publication informs members of the public about its existence as required by law.

Rent Tax & Rent Registration

Your license fees would be affected by location and rent payable for business premises; tax calculation involves Rent x12x25%. You need to consider it because this can greatly impact on your overall budgeting.

Business License – Free for first fiscal year

The business license is free for the first fiscal year which helps new businesses start without such burden

Provision of non-conviction certificate

A non-conviction certificate is required for incorporation. This document confirms that the directors of your company have not been accused of any criminal acts, thus it is very important for you to obtain one.

Registration of Articles of Association at the Tax Office: XAF 20,000

The articles of association require registration at the tax office and a fee is charged for this purpose. Thus, by complying with this step, you are placing your organization in legal terms before the taxation authorities.

Stamp duty on Articles of Association

Stamp duty is payable on articles of association and it will depend on the number of pages. For example stamp duty payable would be XAF 90,000 if the articles are 10 pages long (10 pages x 1,500 x 6 copies). The more pages you have in your articles, the higher will be the amount paid as stamp duty.
